Harris Legal Search has been exclusively engaged by the wholly-owned subsidiary of a publicly-held company to recruit an experienced government contracts attorney to join as Deputy General Counsel.

The successful candidate will report to the Vice President, General Counsel and have three direct attorney reports.  This attorney will play a pivotal role in managing the legal department, and assist the General Counsel in the development of legal policies and procedures to ensure compliance with state and federal laws and regulations.  

This company is a leading provider of high-performance products, system solutions, and support services focusing on the defense, homeland security, commercial aviation, and medical instrumentation markets, with facilities throughout the U.S.


  • Provide analysis and counsel on legal, policy, and contractual issues, including proposed products, intellectual property, mergers and acquisitions, financial offerings, financial structuring, nondisclosure agreements, outsourcing agreements, and business strategic planning.
  • Collaborate with the General Counsel to develop and implement legal strategies to support the company’s objectives.
  • Advise executive leadership on wide range of issues impacting the defense industry.
  • Assist with issues related to administering Special Security Agreement, including interface with regulatory authorities.
  • Write, negotiate, and administer complex vendor, client, and product contracts.
  • Serve as key legal advisor on major business transactions, strategic indicatives, HR support, litigation, acquisitions, divestitures, and joint ventures.
  • Identify and assess legal risks associated with government contracts, and develop strategies to mitigate those risks while ensuring adherence to applicable laws and regulations.
  • Oversee negotiation and drafting of government contracts, subcontracts, teaming agreements, and other legal documents.
  • Review and analyze contract terms and conditions to mitigate risks and protect the company’s interests.
  • Work closely with cross-functional teams to ensure proactive risk management throughout the contract lifecycle.
  • Monitor and ensure compliance with government contracting laws, regulations, and company policies.
  • Conduct internal training sessions to enhance awareness of legal and compliance requirements within the organization.


  • Minimum of 15+ years as practicing attorney. 
  • Active membership in at least one state Bar.
  • Ability to obtain and maintain Secret Security Clearance.
  • Demonstrates comprehensive understanding of government contracting laws, regulations, and compliance requirements.
  • Strong knowledge of federal acquisition regulations (FAR) and other relevant government contracting laws.
  • Experience in aerospace/defense industry.
  • Demonstrated leadership and management skills, with experience managing a team.
  • Excellent negotiation and drafting skills.
  • Strong analytical and problem-solving abilities.
  • Effective communication and interpersonal skills.
  • Ability to work collaboratively in a fast-paced, dynamic environment.
